HUFIX | Terms and Conditions

These Terms and Conditions govern the use of the HUFIX website and, where incorporated into a quotation, proposal, booking or agreement, the services provided by HUFIX. Specific written terms agreed for a particular project, course or engagement take precedence over these general terms where they conflict.

1- Scope and Acceptance

By accessing the website or entering into an agreement for HUFIX services, you agree to the terms applicable to that use or engagement. Submitting an enquiry, contact form, or request for information does not by itself create a binding service agreement.

 

2- Services

HUFIX provides services that may include professional training, strategic business consulting, HR infrastructure and advisory, HR outsourcing, and recruitment solutions. The exact scope, deliverables, timing, location, format and fees for a specific engagement will be set out in the relevant quotation, proposal, booking confirmation or agreement.

 

3- Formation of an Agreement

An enquiry or initial discussion is non-binding. A service agreement is formed only when HUFIX accepts the engagement and the client accepts the applicable quotation, proposal or booking terms, whether by written confirmation, email acceptance, signature, payment where stated as acceptance, or another method expressly agreed between the parties. For larger or specific projects, a separate signed agreement may be required.

 

4- Fees, Invoicing and Payment

Fees and payment schedules depend on the nature and scope of the engagement and will be communicated before confirmation. HUFIX may require an advance payment, staged payments or full payment, as specified in the applicable quotation or agreement. Unless stated otherwise, taxes and other legally applicable charges will be handled as indicated on the invoice or proposal.

 

5- Rescheduling and Cancellation

HUFIX understands that circumstances can change and will handle reasonable requests to reschedule or cancel in good faith. Any rescheduling, cancellation, refund or credit will depend on the nature of the engagement, timing of the request, trainer or consultant availability, venue and travel commitments, third-party costs already incurred, and any specific terms stated in the quotation or agreement. Where possible, HUFIX will seek a practical alternative before cancellation.

 

6- Consumer Rights and Distance Contracts

Nothing in these Terms limits mandatory rights available to consumers under applicable Dutch or EU law. Where a consumer concludes a qualifying distance contract, any statutory right of withdrawal, cooling-off period, information requirements and applicable exceptions will apply as required by law. If a consumer expressly asks for a service to begin during a statutory withdrawal period, the legal consequences of that request will apply. Bespoke or date-specific services may be subject to statutory exceptions where applicable.

 

7- Training Delivery and Changes

Training may be delivered in person, online, at a client location, at an arranged venue, or in a blended format. HUFIX may make reasonable changes to trainers, consultants, schedules, venues, delivery methods or program content when necessary, while seeking to preserve the purpose and overall quality of the agreed service. Material changes will be communicated to the client as soon as reasonably possible.

 

8- Client Responsibilities

The client is responsible for providing accurate information, timely decisions, necessary access, suitable participant details, and any cooperation reasonably required for HUFIX to deliver the agreed service. For on-site delivery, the client is responsible for providing a safe and suitable working or training environment unless otherwise agreed.

 

9- Intellectual Property and Use of Materials

Unless otherwise agreed in writing, intellectual property rights in HUFIX-created training materials, methodologies, presentations, templates, reports and other original content remain with HUFIX or the relevant rights holder. Clients and participants may use materials supplied to them for their own personal or internal organizational purposes. They may not resell, commercially exploit, publish, reproduce for external distribution, license or distribute those materials to third parties without prior written permission, unless a separate agreement grants broader rights.

 

10- Confidentiality

HUFIX will treat non-public information received from clients in connection with an engagement as confidential and will not disclose it to third parties except where disclosure is necessary to deliver the agreed service, has been authorised by the client, is already lawfully public or known, or is required by law or a competent authority. Where appropriate, additional confidentiality or non-disclosure terms may be agreed separately.

 

11- Professional Standard and Results

HUFIX will perform its services with reasonable professional care and skill. Training, consulting, HR and recruitment outcomes depend on multiple factors outside HUFIX’s control, including client participation, implementation decisions, market conditions, candidate decisions and organizational circumstances. Accordingly, unless expressly guaranteed in a specific written agreement, HUFIX does not guarantee a particular commercial, financial, employment, recruitment or performance result.

 

12- Liability

To the fullest extent permitted by applicable law, HUFIX is not liable for indirect, incidental, consequential or purely economic losses arising from the use of the website or services, except where liability cannot legally be excluded or limited. Any limitation of liability in a specific proposal or agreement will apply to that engagement. Nothing in these Terms excludes liability where exclusion is prohibited by mandatory law.

 

13- Website Content and External Links

HUFIX aims to keep website information accurate and current, but website content is provided for general information and may change. It does not constitute professional advice for a specific situation unless expressly stated. Links to third-party websites may be provided for convenience; HUFIX is not responsible for third-party content, availability or practices.

 

14- Privacy and Personal Data

Personal data is handled in accordance with the HUFIX Privacy Policy and applicable data protection law, including the GDPR where applicable. The Privacy Policy explains the categories of personal data processed, purposes, legal bases, retention, sharing and data-subject rights.

 

15- Changes to These Terms

HUFIX may update these Terms from time to time. The version published on the website will show the applicable effective or last-updated date. Changes will not retroactively alter an already concluded agreement unless permitted by law and agreed or otherwise validly applicable. For ongoing services, material changes will be communicated where required.

 

16- Governing Law and Disputes

These Terms and agreements governed by them are subject to Dutch law, unless mandatory law requires otherwise or a specific written agreement states a different valid governing law. The parties will first seek to resolve disputes through good-faith discussion. If a dispute cannot be resolved, it may be submitted to the competent court in the Netherlands, subject to any mandatory jurisdiction rights available to consumers.

 

17- Contact and Company Information

Questions about these Terms may be submitted through HUFIX’s official website contact channels. Before publication, the website should also display the registered legal entity name, business address, Chamber of Commerce (KVK) number, VAT identification number where applicable, and current contact details as required by Dutch law.

 

Publication note

Complete the registered company details and add an effective date before publishing this page. If HUFIX enables direct online purchases by consumers, the checkout and cancellation flow must also be configured to comply with applicable Dutch/EU distance-selling and withdrawal rules.
